Abstract | The prospectus is an essential document that plays a crucial role in safeguarding the interests of investors. It serves as a legal and informative instrument that provides critical information about the investment opportunity to potential investors. However, the effectiveness of the prospectus in protecting investors is subject to scrutiny and requires critical analysis. This research paper aims to provide a critical analysis of the role of the prospectus in safeguarding investor interests. It will examine the legal framework for prospectus requirements and evaluate the extent to which the prospectus protects investors from potential risks and fraudulent activities. The paper will explore the relevance of the prospectus in the context of initial public offerings and scrutinize its effectiveness in ensuring transparency and disclosure of relevant information. It will also assess the extent to which the prospectus facilitates informed decision-making by investors. Furthermore, the paper will investigate the implications of inadequate or misleading disclosure in the prospectus and its impact on investors and will also examine the role of regulatory bodies in enforcing compliance with prospectus requirements and safeguarding investor interests. In conclusion, this paper provides a critical analysis of the role of the prospectus in protecting investors. It highlights the importance of the prospectus in safeguarding investor interests and identifies areas for improvement in the legal framework for prospectus requirements to enhance investor protection. |
